SEO Terms & Conditions

1. Agreement

This agreement is made between Truly Empowered Ltd (hereinafter referred to as “Service Provider”) and the signatory (hereinafter referred to as “Client”) on the date of form submission. These terms become effective immediately upon signing.

2. Scope of Services

The Service Provider agrees to provide Search Engine Optimization (SEO) services as outlined in this agreement. These services aim to:

  • Improve the Client’s website visibility on search engines.
  • Drive targeted online inquiries through enhanced rankings.

Services may include (but are not limited to):

  • Keyword research and selection of relevant search terms.
  • Backlink generation to improve link popularity.
  • On-page optimization (e.g., meta tags, HTML, page titles, and text).
  • Recommendations for website structure, navigation, and technical improvements.
  • Creation of reports on traffic, rankings, and other performance metrics.

Any additional services outside the scope of this agreement (e.g., content writing, website redesign, social media management) will require a separate agreement and fee.

3. Payment Terms

The total monthly payment for services is as stated in the form and will include VAT at 20%. 
Payments will be processed via an automatic subscription through credit/debit card or PayPal.

All fees are non-refundable. Late payments may result in service suspension until full payment is received.

4. Client Responsibilities

The Client agrees to provide the following for the successful execution of SEO services:

  • Administrative/backend access to the website for analysis and optimization.
  • Permission to make changes for SEO purposes and to communicate with third parties if necessary.
  • Access to existing website traffic statistics for analysis and tracking.
  • A Gmail account and a Client-side email address for link-building purposes.
  • Authorization to use Client-owned materials (e.g., logos, images, content) for SEO purposes.
  • Timely communication and approvals for changes or recommendations.

If additional textual content is required, the Client agrees to provide it in electronic format for creating or enhancing web pages.

5. Acknowledgements and Limitations

The Client acknowledges and agrees to the following:

  • SEO is a long-term strategy, and results may take several months to materialize.
  • Search engines’ algorithms and policies are beyond the Service Provider’s control. Rankings may fluctuate due to factors such as algorithm changes or competition.
  • No guarantees are made for specific rankings or consistent top positions for any keyword or phrase.
  • Issues such as Google Sandbox penalties or unexplained listing drops may affect performance.
  • Linking to or obtaining links from “bad neighborhoods” or “link farms” can harm SEO efforts, and the Service Provider is not liable for such actions taken without prior consultation.
  • Changes made by the Client or third parties to the website may negatively impact SEO performance. Restoration of optimized work may incur additional charges.

6. Reporting

Reports on traffic, rankings, and performance will be provided at agreed intervals. Metrics will include relevant data to track SEO progress.

7. Intellectual Property

All deliverables created as part of this agreement (e.g., optimized tags, backlinks) will remain the property of the Service Provider until all payments are received in full. Upon payment, ownership will transfer to the Client.

8. Confidentiality

All Client information, including login credentials and work undertaken, will remain confidential during and after the agreement, unless otherwise agreed upon in writing.

9. Termination

This agreement may be terminated by either party with one month’s written notice. Upon termination, all outstanding payments for services rendered must be settled.

10. Liability

The Service Provider’s total liability for any claims related to this agreement shall not exceed the total amount paid by the Client for services rendered. The Service Provider is not liable for third-party actions, hosting issues, or external factors affecting performance.

11. Governing Law

This agreement and any disputes arising out of it shall be governed by the laws of the United Kingdom.
